This Terms of Service Agreement (“Agreement”) pertains to the usage of the website https://carne.co.in/ (“Website”) and the mobile site https://carne.co.in/ (“Msite”). Collectively, these are referred to as the “Platform.”
In this Agreement, “you” or “User” refers to any individual, including natural or legal persons, utilizing the Platform or purchasing any product from Carne.
Acceptance
Carne encourages you to periodically review this Agreement whenever you access the Platform to ensure your understanding of the terms and conditions governing its use and/or product purchases (“Products”). This Agreement does not modify the terms or conditions of any other written agreement you may have with Carne for other products or services. In case of a conflict between this Agreement and any other executed agreement, the latter shall prevail regarding the subject matter.
If you disagree with this Agreement (including any referenced policies or guidelines), kindly cease your use of the Platform. To obtain a printable copy of this Agreement, use your browser’s print function.
Eligibility
By using the Platform, you affirm that you are at least eighteen (18) years old and possess the competence to understand and accept the terms and conditions outlined in this Agreement. Carne reserves the right to terminate your membership and/or deny Platform access if you are under eighteen (18) years of age or deemed legally incompetent.
Terms of Use
We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Platform, subject to the terms herein. You agree not to violate any laws in connection with your Platform use or interfere with its operations.
You acknowledge that all content, including information, data, text, software, music, sound, photographs, graphics, audio, video, messages, and other materials on the Platform (collectively, “Content”), is owned by Carne or its licensors. You are expressly prohibited from using any Content without Carne’s or its licensors’ written consent. Except as otherwise stated in this Agreement, no Content may be reproduced, distributed, republished, downloaded, displayed, posted, transmitted, or copied in any form or by any means without prior written permission from Carne and/or the appropriate licensor. You are permitted to display, copy, distribute, and download materials from the Platform solely for personal, non-commercial use, provided that you make no modifications to the materials and retain all copyright and proprietary notices. “Mirroring” any material from the Platform or any other server without Carne’s express written permission is strictly prohibited. Any permission granted under this Agreement will automatically terminate upon your breach of these terms. Upon such termination, you agree to destroy any downloaded and/or printed Content.
You shall not host, display, upload, modify, publish, transmit, update, or share any information on the Platform that:
- Belongs to another person without the appropriate rights.
- Is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, encouraging money laundering or gambling, or otherwise unlawful.
- Harms minors in any manner.
- Infringes any patent, trademark, copyright, or other proprietary rights.
- Violates any applicable law.
- Deceives or misleads the recipient about the message’s origin or communicates grossly offensive or menacing information.
- Impersonates another person.
- Contains software viruses or other malicious code.
- Threatens India’s unity, integrity, defense, security, sovereignty, friendly relations with foreign states, public order, incites offenses, or insults any other nation.
You agree not to collect information from other users on the Platform, download, or copy any information through unsolicited access to communicate directly with them or for any other purpose.
ANY USE OF THE PLATFORM NOT SPECIFICALLY PERMITTED UNDER THIS AGREEMENT IS STRICTLY PROHIBITED.
Products, Ordering, and Pricing
Carne currently delivers Products listed on the Platform only to select locations in specific cities. The availability of Products, quantity limits, order rejection, and discontinuation without notice are at our discretion, even if an order has been placed.
We make every effort to accurately display Product descriptions, colors, and images, but we cannot guarantee the precision of pictorial representations due to technical reasons. Product prices and descriptions may change at our sole discretion, and we shall not be liable for such modifications, suspensions, or discontinuations.
The Platform allows you to order Products in standard quantities, and the displayed prices are calculated accordingly. However, due to the nature of the Products, there may be variances between the ordered and supplied quantities.
You will only be charged for the quantity of the Product supplied to you. If the supplied quantity is less than ordered, any excess payment will be refunded to you as determined by Carne. If the quantity supplied exceeds the order, the additional amount due will be adjusted in your next order.
The Products sold on the Platform are perishable, so we recommend carefully reading the packaging instructions before use.
Any Platform offers are subject to terms and conditions listed on the Platform.
You agree not to copy, reproduce, resell, or redistribute any Product manufactured and/or distributed by Carne as it holds proprietary rights and trade secrets in its Products.
Delivery, Handling Charges, and Taxes
Carne may charge delivery and handling fees, along with applicable taxes, as determined from time to time.
While we strive to deliver orders promptly, actual delivery times may vary from those initially indicated. We will keep you informed of any delivery delays.
Platform
Intellectual Property and Third-Party Links Carne owns the Licious brand and the Platform, holding exclusive rights, titles, and ownership of all intellectual property rights related to its brand and the Platform.
The Platform may occasionally include links to third-party websites or services. Carne disclaims responsibility for any loss or damage resulting from your use of such third-party services linked from the Platform.
Additionally, the Platform offers information on nutritional and dietary supplements, both directly and through third-party links, for general use and at your own risk. Carne is not liable for any damages arising from the use of this information. Responsibility for third-party content rests with the respective providers.
User Account To access and use the Platform, you may need to register, providing necessary information. You are responsible for ensuring the accuracy of this information.
You must keep your password secure, and Carne is not liable for any loss or damage due to your failure to maintain account security. Billing information, including payment details and billing address, must also be accurate. Providing false information or using the Platform for fraudulent or unlawful activities may result in termination of this Agreement.
By posting, storing, or transmitting content on the Platform, you grant Carne a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, display, perform, create derivative works, distribute, and transmit such content in any form or media. Carne cannot control user-generated content but reserves the right to monitor interactions and remove objectionable content at its discretion.
Reverse Engineering & Security You agree not to:
Reverse engineer or attempt to reverse engineer or disassemble any Platform code or software.
Violate Platform security through unauthorized access, encryption circumvention, data mining, or interference with hosts, users, or networks.
Use the Platform for illegal spam activities, including email address and personal information gathering or mass commercial emails.
Customer Solicitation Unless you opt out in writing, you agree to receive marketing communications and solicitations via email, calls, and messages through various channels.
Opt Out Procedure To opt out of marketing communications, follow these steps:

Carne Cash
Open a Cash Account upon successful registration on the Platform.
Currency: Indian Rupees (INR).
Top-up options: net banking, credit cards, debit cards, wallets, etc.
Carne may request KYC information.
Authorize Carne to manage Cash Account funds according to your instructions.
Use Cash Account funds for Platform Product purchases or transfer to your bank account.
No interest is accrued on Cash Account balances.
Disclaimer
Carne may modify or withdraw the loyalty program at its discretion.
Carne may change program terms at any time.
Disclaimer of Warranties
Your use of this Platform, Products, and offers is at your own risk. They are provided “as is” and “as available.” Carne expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Carne does not guarantee the accuracy, reliability, completeness, or timeliness of Content or third-party links on the Platform.
No advice or information obtained from the Platform creates warranties not expressly stated herein.
Limitation of Liability
Carne’s liability and your exclusive remedy for any breach of this Agreement, whether in law, equity, or otherwise, is limited to the amount paid by you for Products via the Platform in the last month, excluding shipping, handling costs, and taxes.
Carne will not be liable for direct, indirect, incidental, special, or consequential damages related to this Agreement, Platform use, Products, or offers. This includes, but is not limited to, damages from (1) Platform use or inability to use it; (2) procuring substitute Products; or (3) lost profits, goodwill, or loss, theft, or corruption of user information.
Indemnification
You agree to release, indemnify, defend, and hold Carne and its contractors, agents, employees, officers, directors, shareholders, affiliates, and assigns harmless from third-party liabilities, claims, damages, costs, and expenses, including reasonable attorneys’ fees and expenses, arising from:
Violation of this Agreement, including breaches of warranties, representations, and obligations.
Platform use.
Infringement of any intellectual property or other proprietary rights, including Carne’s rights.
Information or data you provide to Carne.
When threatened with a third-party lawsuit, Carne may seek written assurances from you regarding your indemnification promise. Failure to provide such assurances may be considered a material breach of this Agreement. Carne may participate in your defense against third-party claims at your request and expense.
Modification
Carne reserves the right to amend this Agreement, in compliance with applicable law, by posting amendments or the updated Agreement on the Platform. We may notify you of changes through the Platform or other means. The updated Agreement is effective immediately upon posting. Continued Platform use after amendments constitutes acceptance of the updated terms.
Privacy
Carne values user privacy and provides notice of data usage. Refer to Carne’s Privacy Policy, incorporated herein by reference.
General
Force Majeure Carne is not in default and not responsible for any performance cessation, interruption, or delay resulting from events such as earthquake, flood, fire, natural disasters, acts of God, war, terrorism, pandemic, lockdown conditions, armed conflict, labor strike, lockout, or boycott.
Cessation of Operation Carne may, at its sole discretion and without notice, cease Platform operations, Product distribution, or offers.
Entire Agreement This Agreement, including referenced policies and guidelines, constitutes the entire agreement between you and Carne, superseding prior agreements on the same subject matter.
Effect of Waiver Carne’s failure to enforce any right or provision of this Agreement does not waive it. If a provision is found invalid, the court should try to uphold the parties’ intentions, and other provisions remain in effect.
Governing Law and Jurisdiction This Agreement is governed by Indian laws, subject to exclusive jurisdiction in Hyderabad, Telangana.
Dispute Resolution Any dispute arising between you and Carne shall be referred to a sole arbitrator, appointed by an independent third-party arbitral institution chosen by Carne. Arbitration occurs in Bengaluru, Karnataka, conducted in English, governed by the Arbitration & Conciliation Act, 1996.
Waiver of Class Action Rights By entering this Agreement, you irrevocably waive the right to join claims in a class action or similar procedure. Claims must be asserted individually.
Termination Carne may terminate your Platform access if it believes, in its sole discretion, that you breached this Agreement. Following termination, you may not use the Platform, and Carne may cancel outstanding Product orders. Carne may take action to prevent unauthorized Platform access. This Agreement continues indefinitely unless terminated by Carne.
Use of Platform outside Operating Locations Carne does not represent that the Platform, Products, or offers are suitable outside Operating Locations.
Assignment You may not assign your rights and obligations under this Agreement. Carne may assign this Agreement, per applicable law, at its discretion.
Severability If any provision is found unlawful, void, or unenforceable, it should be severed while preserving the Agreement’s remaining provisions.
Conflict
In case of a conflict between this Agreement and any policies or guidelines available on the Platform, this Agreement prevails regarding its subject matter, while Platform policies and guidelines prevail concerning theirs. Carefully read all Platform policies and guidelines.
